Important: These Terms govern your use of the Spiraldot Health platform ("Platform"). By using the Platform, you agree to these Terms. The Platform is intended solely for use by licensed healthcare providers for clinical decision support purposes.

Section 1

Eligibility and Purpose

You must be a licensed healthcare provider using the Platform for clinical decision support (CDS) purposes only. The Platform is intended solely for professional use in supporting clinical judgment—not for consumer use or commercial resale.

Section 2

CDS Disclaimer and No Medical Advice

The Platform provides literature- and guideline-informed suggestions based on information you submit. These outputs do not constitute medical advice, diagnosis, or treatment. They are informational only and must be independently reviewed.

Spiraldot is not liable for clinical decisions, patient harm, or any outcomes based on use of the Platform.

Section 3

Protected Health Information (PHI) and BAA

  • You may upload PHI to the Platform if a Business Associate Agreement (BAA) is executed.
  • Spiraldot is not a covered entity and will enter into a BAA upon request.
  • Without a BAA, you may only upload de-identified or non-PHI data.
  • You are responsible for ensuring PHI uploaded complies with HIPAA and any applicable state laws.

No Responsibility for Input Accuracy

You are solely responsible for the accuracy, completeness, and appropriateness of all submitted patient information. Spiraldot does not validate or supplement the data and is not responsible for incomplete or misleading inputs.

Section 5

No Warranties

Spiraldot provides the Platform "as is" and "as available." We disclaim all warranties—express, implied, or statutory—including any warranties of merchantability, fitness for a particular purpose, or accuracy.

Section 6

Limitation of Liability

Spiraldot shall not be liable for any direct, indirect, incidental, consequential, or special damages—including but not limited to malpractice claims, loss of revenue, or regulatory actions—arising from your use of or reliance on the Platform.

Section 7

Ownership and Intellectual Property

Spiraldot retains all rights, title, and interest in and to the Platform, its data models, user interface, and all related intellectual property. You receive only a non-transferable, limited license to use the Platform for your own clinical practice.

Section 8

Termination

We reserve the right to suspend or terminate access at any time without notice. You may stop using the Platform at any time.

Section 9

Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflicts of law rules.
